Electro Circuits Corporation of Maryland

Orders placed with Electro Circuits Corporation (hereinafter called E.C.C. and sometimes called Seller) are subject to the following conditions of Sale, except as such conditions are specifically modified or changed in writing and signed by an authorized officer of E.C.C.

ACCEPTANCE

Our quotation and invoice constitutes an invitation to receive an offer during the period ending 30 days from the date hereof, subject to change without notice during such period.  It supersedes all previous agreements, contains the entire contract of the parties, and shall not be modified except in writing, signed by the parties or as otherwise provided herein. If an offer is made by the buyer, it shall constitute an order on the part of the buyer, but shall not become binding upon E.C.C. until accepted in writing by an officer of E.C.C.

PRICES

Prices are F.O.B. Sellers plant with risks or loss in shipment passing to the buyer upon delivery to the carrier.  Any and all taxes, now or hereinafter imposed by any governmental authority on the items covered by this invoice or any modification thereof, or upon the manufacture, sale, or use of such items, including sales and use taxes, shall be paid in addition to the quoted price.

DELIVERY

Shipping dates are approximate and date from the acceptance of the order furnishing of complete manufacturing information to E.C.C. in Baltimore, MD.  Seller shall be entitled to a reasonable period of grace in the event of any delay in delivery beyond the scheduled shipping date.

E.C.C. is not responsible for delay or loss in transit and is not liable for delay caused by events beyond its control.  Any storage charges incurred by the buyer’s inability to receive material shall be paid by the buyer.

DELAYED SHIPMENTS

If scheduled shipments of orders already in production are held or postponed by more than 30 days at the customer’s request, there will be an inventory charge of 10% per month of the sales value of the unshipped balance.

CANCELLATION

Purchaser may cancel its order only upon written notice to seller and upon payment of reasonable cancellation charges, which will take into account any expenses incurred by and commitments made by E.C.C. in reliance upon such order.  Compensation shall be at least 10% of the purchase price.

WARRANTY

We offer no guarantee as to the use of application of our products.  We warrant our products to be free from defects in material and workmanship: but because their use is beyond our control, we accept no responsibility or liability for damages, whether direct; indirect or consequential, resulting from failure in performance.  In cases where our products are found to be defective in material and workmanship, our liability is limited to the purchase price of the products found to be defective.  This warranty is to the exclusion of all other warranties or guarantees express or implied, as to merchantability, fitness for any particular purpose description, productiveness or any other matter.  None of the above information may be construed as a recommendation that our products be used in violation of any patent rights.

DISPUTES

We accept your orders at our shipping points only on the basis of the above understanding, which our employees have no authority to vary.

ERROR

Typographical and clerical errors are subject to correction.
